Terms & Conditions

These terms govern your use of the CodesDen website, the business software published at codesden.com/apps, and any development or design service we carry out for you. By creating an account or engaging us for work, you agree to them.

1. Who you are dealing with

This website and the software are operated by CodesDen, a sole proprietorship with its place of business at T.Y.C. Phase-II, Agra, Uttar Pradesh 282006, India.

We are not registered under GST at present, as our turnover is below the registration threshold. Accordingly, no GST is charged on our invoices, and the prices shown are the total amount payable.

In these terms, "we", "us" and "CodesDen" mean the above; "you" means the person or business using our website, software or services.

2. Your account

• You must give accurate details when you sign up, and keep them up to date.
• You are responsible for your password and for everything done through your account. Tell us immediately if you think someone else has access to it.
• One account is meant for one business. You may not resell, sub-license or share access with another business.
• We may suspend or close an account that is being used unlawfully, to attack or overload our systems, or in breach of these terms.

3. Free trial

We offer a free trial of our software for a limited period, currently 30 days, to a limited number of businesses. The trial gives you the full software — nothing is held back.

• No card or payment detail is required for the trial, and nothing is charged automatically when it ends.
• When the trial ends, sign-in continues to work but the software locks until you pay. Your data is not deleted, and you may export it.
• We may change the length of the trial or the number of free places available at any time. A trial already running is not shortened by such a change.
• The trial is offered once per business.

4. Prices, payment and renewal

• Software subscriptions are billed yearly, in advance. The price applicable to you is the one shown when you subscribed.
• Payment is currently taken by UPI. Your subscription is activated by us after the payment is confirmed — usually within a few minutes during working hours.
• There is no auto-renewal and no stored card. Near the end of your term we will remind you, and you renew only if you choose to.
• If a renewal is not paid, the software locks on the expiry date. Your data stays available for export.
• Prices may change for future terms. A change never affects a term you have already paid for.

5. What you get, and what you do not

A paid subscription gives you a non-exclusive, non-transferable right to use the software for your own business for the period paid for. It is a subscription, not a sale — you do not receive ownership of the software, its source code, or any right to copy or redistribute it.

Development and design services are covered by the individual quotation or proposal for that work, which takes precedence over this section where the two differ.

6. Your data belongs to you

Everything you enter into the software — your invoices, customers, items, ledgers — is yours. We do not claim ownership of it and we do not sell it. We access it only when it is necessary to provide support you have asked for, to fix a fault, or where the law requires it.

You may export your data at any time while your account exists. If you close your account, tell us and we will remove your data; otherwise we keep it for a reasonable period in case you return. See our Privacy Policy for detail.

7. Acceptable use

• Do not use the software for anything unlawful, or to store data you have no right to hold.
• Do not attempt to access another customer's data, probe or attack the systems, or work around the licence.
• Do not upload anything designed to damage the service or its other users.

8. Availability and support

We work to keep the software running, but we do not promise uninterrupted availability. Hosting, internet links and third-party services can fail, and we sometimes take the service down briefly for maintenance. We will give notice of planned downtime where we reasonably can.

Support is provided by WhatsApp and telephone during our working hours — Monday to Friday 10:00–20:00, Saturday 10:00–17:00 IST, closed Sunday and public holidays. We aim to reply the same working day.

9. Accounting and tax disclaimer

Our software helps you record and calculate figures, including GST. It is a tool, not tax advice. You remain responsible for the accuracy of your books and for your own returns and filings. Please have your figures checked by your CA or GST practitioner before filing. We are not liable for any tax, penalty or interest arising from your use of the software.

10. Limitation of liability

To the extent permitted by law, our total liability to you for any claim relating to the software is limited to the amount you paid us for it in the twelve months before the claim arose. We are not liable for indirect or consequential loss, including loss of profit, loss of business or loss of data, except where such loss is caused by our own gross negligence or wilful misconduct.

Nothing in these terms limits any liability that cannot lawfully be limited.

11. Ending the agreement

• You may stop using the software at any time. Yearly subscriptions are not refundable except as set out in our Refund & Cancellation Policy.
• We may end your access if you breach these terms materially and do not put it right within 7 days of us telling you.
• If we discontinue a product altogether, we will give you reasonable notice, help you export your data, and refund the unused part of your term.

12. Changes to these terms

We may update these terms. The date at the top shows when they last changed. If a change materially affects you, we will tell you by WhatsApp or email before it takes effect. Continuing to use the service after that means you accept the updated terms.

13. Governing law

These terms are governed by the laws of India. The courts at Agra, Uttar Pradesh have exclusive jurisdiction over any dispute. Before going to court, please raise the matter with us — nearly everything can be sorted out with a conversation.
